Federated Acquires Again


Chalk up another acquisition for Federated Investors. The Pittsburgh-based investment manager, one of the industry's most prolific acquirers, is buying Clover Capital Management, a Rochester, New York-based value specialist, for about $36 million. The deal, expected to close in the fourth quarter, also includes a series of contingent payments that could amount to as much as $57 million over the next five years, based on growth.

Federated likewise revealed plans to launch three traditional value-oriented equity mutual funds that will be run by the Clover Capital team.

"We've bee looking for a couple of years for a quality value shop to complement our current value capabilities," said Joe Machi, vice president and director of alliances at Federated, in an interview with The MFWire on Monday morning.

Federated started talks with Clover Capital earlier this year. Federated did not tap an investment banker for the deal.

Clover Capital currently manages roughly $2.8 billion for retail, institutional and private-wealth clients. It sub-advises three mutual funds for Touchstone Investments, and offers separately managed accounts and collective portfolios.

Asked how the deal would affect Clover Capital's relationship with Touchstone, Machi declined to comment.

Clover Capital CEO and CIO Michael Jones and the rest of the staff will join Federated.

The transaction has been approved by the board of directors of Federated Investors, Inc. and shareholders owning a majority interest in Clover Capital and is subject to customary closing conditions. The initial purchase price for the transaction is expected to be approximately $36 million based on current asset levels. The transaction also includes a series of contingent payments, which could total as much as $57 million over the next five years based on growth.

Clover Capital provides its investment management services through a combination of separately managed accounts and common and collective portfolios. Clover Capital also serves as sub-advisor to several mutual funds. As a result of the strong investment performance of its value investment strategies, Clover Capital's products have been attractive to institutional and high-net-worth investors. Upon the closing of the transaction, Federated expects to introduce Clover Capital's investment strategies to all of its distribution channels.
